1. Acceptance of Terms

By accessing or using the Vistancio website (vistancio.com) and any related services, features, content, or applications (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Vistancio ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Services after any modifications constitutes your acceptance of the updated Terms.

2. Eligibility

2.1 Age Requirements

You must be at least eighteen (18) years of age to use our Services. If you are between the ages of 13 and 18, you represent that you have obtained parental or guardian consent to use the Services. By using our Services, you represent and warrant that you meet all eligibility requirements.

2.2 Legal Capacity

You represent that you have the full legal capacity and authority to enter into these Terms. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2.3 Geographic Restrictions

Our Services are available globally, subject to applicable local laws and regulations. We reserve the right to restrict access to our Services in certain jurisdictions where doing so is required by law or deemed necessary by us.

3. Account Registration and Security

3.1 Creating an Account

To access certain features of our Services, you may be required to create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to:

Use a strong, unique password for your Vistancio account
Not share your login credentials with any third party
Notify us immediately at security@vistancio.com if you suspect unauthorized access to your account
Log out of your account at the end of each session on shared devices

3.3 Account Responsibility

You are responsible for all activities that occur under your account, whether or not you authorized them. Vistancio shall not be liable for any loss or damage arising from your failure to maintain account security.

3.4 Account Termination by User

You may close your account at any time by contacting us at support@vistancio.com or through the account settings page. Closure of your account does not relieve you of any obligations incurred prior to termination.

4. Permitted Use of Services

4.1 License Grant

Subject to your compliance with these Terms, Vistancio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

4.2 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services in any manner that:

Violates any applicable local, national, or international law or regulation
Is fraudulent, deceptive, misleading, or harmful to others
Infringes upon any intellectual property, privacy, or other rights of any party
Involves the transmission of unsolicited commercial communications (spam)
Interferes with or disrupts the integrity or performance of our Services
Attempts to gain unauthorized access to any part of the Services or its related systems

5. Prohibited Activities

The following activities are strictly prohibited on our platform:

5.1 Illegal and Harmful Conduct

Uploading, posting, or transmitting content that promotes violence, hatred, or discrimination
Harassing, threatening, intimidating, or stalking any individual
Impersonating any person, entity, or organization

5.2 Technical Abuse

Introducing viruses, malware, ransomware, or any other malicious code
Conducting denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks

5.3 Data and Privacy Violations

Collecting or harvesting personal information about other users without their consent
Using the Services to transmit sensitive personal data in violation of applicable privacy laws
Attempting to identify or re-identify anonymized or de-identified data

5.4 Intellectual Property Violations

Reproducing, distributing, or creating derivative works from our content without express written permission
Removing, altering, or obscuring any proprietary notices, labels, or marks on the Services
Using our trademarks, logos, or brand assets without prior written authorization

6. User-Generated Content

6.1 Ownership

You retain ownership of any content, materials, or information you submit, post, upload, or otherwise make available through the Services ("User Content"). By submitting User Content, you grant Vistancio a worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content solely for the purpose of operating and improving the Services.

6.2 Content Standards

All User Content must comply with the following standards. Content must not:

Be false, inaccurate, or misleading
Be defamatory, obscene, offensive, or discriminatory
Infringe any copyright, trademark, trade secret, or other intellectual property rights
Violate the privacy or publicity rights of any person
Contain personal information about third parties without their consent
Promote illegal products, services, or activities

6.3 Content Moderation

Vistancio reserves the right, but is not obligated, to review, monitor, edit, or remove any User Content at our sole discretion and at any time, without notice, for any reason. We are not responsible for any User Content posted by users.

6.4 Reporting Violations

If you believe any User Content violates these Terms or applicable law, please report it to us at abuse@vistancio.com. We will investigate all reports and take appropriate action.

7. Intellectual Property

7.1 Vistancio's Intellectual Property

All content, features, functionality, design elements, software, code, text, graphics, logos, and other materials comprising or contained within the Services (excluding User Content) are owned by Vistancio or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Trademarks

The name "Vistancio," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vistancio. You may not use such marks without the prior written permission of Vistancio.

7.3 Feedback

If you submit ideas, suggestions, or feedback about our Services ("Feedback"), you grant Vistancio a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into our Services without any obligation to you.

8. Third-Party Services and Links

8.1 Third-Party Links

Our Services may contain links to third-party websites, services, or resources. These links are provided for convenience only. Vistancio does not endorse and is not responsible for the content, privacy practices, or terms of any third-party sites. You access third-party sites at your own risk.

8.2 Third-Party Integrations

Certain features of our Services may integrate with third-party platforms (e.g., social media, payment processors, analytics tools). Your use of such integrations is subject to the applicable third-party terms and privacy policies. Vistancio is not responsible for the conduct of any third-party provider.

9. Payments and Subscriptions

9.1 Fees

Certain features of the Services may require payment of fees. All fees are stated in United States Dollars (USD) unless otherwise noted. You agree to pay all applicable fees in connection with your use of the Services.

9.2 Billing

By providing payment information, you authorize Vistancio (or our payment processor) to charge your payment method for all fees incurred. You are responsible for keeping your billing information current and accurate.

9.3 Refunds

All purchases are final unless otherwise stated at the time of purchase or required by applicable law. Refund requests may be submitted to billing@vistancio.com and will be evaluated on a case-by-case basis.

9.4 Subscription Cancellation

If you subscribe to a recurring plan, you may cancel at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will not receive a prorated refund for unused time unless required by applicable law.

9.5 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least thirty (30) days' notice of any price changes via email or a notice posted on our Site.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VISTANCIO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION AVAILABLE THROUGH THE SERVICES

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VISTANCIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR SERVICE INTERRUPTION.

11.2 Liability Cap

TO THE EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY TO THE OTHER FOR ANY DIRECT CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID OR PAYABLE BY YOU TO VISTANCIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIVE HUNDRED CANADIAN DOLLARS (US $500).

11.3 Exclusion of Damages

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.4 Essential Basis

THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A FAIR ALLOCATION OF RISK AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND VISTANCIO. THESE LIMITATIONS WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vistancio and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees arising out of or relating to:

Your violation of these Terms
Your use of the Services
Your User Content
Your violation of any third-party rights, including intellectual property or privacy rights
Your violation of any applicable law or regulation

13. Termination

13.1 Termination by Vistancio

We reserve the right to suspend or terminate your access to the Services, with or without notice, at our sole discretion, for any reason, including but not limited to:

Violation of these Terms
Conduct that we believe is harmful to other users, third parties, or our business
Extended periods of account inactivity
Legal or regulatory requirements

13.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, disclaimers, indemnification, and limitation of liability — shall survive.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at legal@vistancio.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within thirty (30) days.

14.3 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered under the Arbitration Act (Alberta), conducted in the English language in Fort Saskatchewan, Alberta, Canada. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

14.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving intellectual property infringement or imminent harm.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and Vistancio regarding your use of the Services.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Vistancio's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Vistancio may assign these Terms freely without restriction.

15.5 Force Majeure

Vistancio shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, natural disaster, or internet outages.

15.6 Language

These Terms are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
